These Terms of Service ("Terms") govern your use of SOAP AI ("the Service"), operated by Ledo Solutions Inc. ("Ledo Solutions," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
SOAP AI is a software service that uses automated speech-to-text and AI language models to assist dental providers in generating draft SOAP notes from patient encounters. The Service:
- Records audio of clinical encounters when initiated by a provider
- Generates text transcripts from those recordings
- Produces structured SOAP note drafts from those transcripts
- Provides workflow tools for review, editing, and approval of those drafts
2. Early Access / Beta
SOAP AI is currently offered as an early access product. This means:
- Features may change, be added, or be removed without notice
- The Service may be unavailable during maintenance, updates, or due to technical issues
- We do not guarantee any specific level of uptime, performance, or accuracy during this period
- You should not rely on the Service as the sole record of clinical documentation
3. Eligibility
You may use SOAP AI only if you are:
- A licensed dental professional or a member of a licensed dental practice acting under appropriate authorization
- At least 18 years old
- Legally able to enter into a binding agreement
- Not prohibited from using the Service under applicable laws
You are responsible for ensuring that all members of your practice who access the Service meet these requirements.
4. Your Responsibilities
Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
Clinical Responsibility
You agree that:
- Generated notes are drafts and may contain errors, inaccuracies, or omissions
- You will review and verify every note before approving it as part of a patient record
- You are solely responsible for the accuracy, completeness, and clinical appropriateness of any documentation you approve
- SOAP AI is not a medical device and does not provide medical advice, diagnosis, or treatment recommendations
- SOAP AI is not intended for emergency medical decision-making or autonomous clinical diagnosis
- Final clinical documentation is your professional responsibility
Patient Consent
You are responsible for obtaining any patient consent required by applicable law before recording an encounter or processing patient information through the Service. Consent requirements vary by jurisdiction.
Compliance
You are responsible for complying with all laws and regulations applicable to your practice, including those governing patient records, medical privacy, and professional conduct.
5. Acceptable Use
You agree not to:
- Use the Service for any purpose other than authorized clinical documentation
- Share your account or credentials with unauthorized persons
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Interfere with or disrupt the Service or attempt to gain unauthorized access
- Use the Service to record or process any conversation in violation of applicable recording or wiretap laws
- Upload malicious code, harmful content, or content that violates the rights of others
- Use the Service to create unlawful, harmful, or misleading clinical documentation
We may suspend or terminate accounts that violate these rules.
6. Data Ownership
- You retain all rights to the Patient Data and clinical documentation processed through the Service
- You grant us a limited license to process this data solely as needed to provide the Service to you
- We will not use Patient Data to train AI models
- You are responsible for maintaining your own backup copies of clinical records as required by your practice's record-keeping obligations
7. Service Availability
We will make commercially reasonable efforts to keep the Service available, but we do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance
- Technical issues or outages
- Events beyond our reasonable control
We are not liable for losses resulting from temporary unavailability.
8. Fees and Billing
During early access, the Service may be provided at no charge or under terms communicated separately. Once general availability pricing is introduced, we will provide advance notice before any charges apply to your account.
9. Intellectual Property
The Service, including its software, design, and content (excluding your Patient Data and content), is owned by Ledo Solutions and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
10. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, Ledo Solutions disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that the Service will be error-free, uninterrupted, or that generated content will be accurate or complete.
SOAP AI is not intended to be, and is not, a medical device. It does not diagnose, treat, cure, or prevent any disease or medical condition. It is not intended for emergency medical decision-making or autonomous clinical diagnosis.
11. Limitation of Liability
To the fullest extent permitted by law, Ledo Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service.
Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).
12. Indemnification
You agree to indemnify and hold harmless Ledo Solutions, its officers, employees, and affiliates from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or third-party right
- Clinical documentation you approve and use in your practice
13. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service.
Upon termination, you may export your data within a reasonable period. After that period, we may delete account information consistent with our Privacy Policy and any applicable retention obligations.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or through the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Florida, and you consent to the jurisdiction of those courts.
